BuildReady™ Sponsored Access Terms

Terms for businesses purchasing BuildReady™ licenses to provide to their customers. Effective September 7, 2026.

1. Parties and authority

These terms apply between UtilityMath, operated from 8101 Boat Club Rd, Ste 240 PMB 631, Fort Worth, TX 76179 (“UtilityMath”), and the purchasing business (“Partner”). The purchaser confirms they are authorized to bind Partner.

2. Order and license allocation

Each BuildReady™ Sponsored Access — 10 Customer Licenses order purchases 10 single-customer, personal-use licenses. The order does not transfer ownership of BuildReady™, grant a resale right, or permit Partner to copy, modify, host, publish, sublicense, or distribute the product files directly.

3. Price, tax, and payment

The price is $299 per 10-license allocation unless a different written order states otherwise. Payment is due at checkout. Applicable taxes are determined at checkout. Partner is responsible for the accuracy of its billing and tax information.

4. Activation and redemption

UtilityMath will verify the order and issue or replenish Partner’s approved redemption method. A license is used when an eligible customer completes the UtilityMath claim process. Partner may not sell the redemption code, publish it publicly, use it for unrelated promotions, or circumvent redemption limits.

5. Customer delivery and support

UtilityMath delivers the digital product directly to the customer and provides product-access support through hello@utilitymath.com. Partner remains responsible for its own products, services, representations, contracts, employees, contractors, and customer relationship.

6. Expiration and unused licenses

Unless the written order states otherwise, licenses should be distributed within 12 months after purchase. UtilityMath may replace a compromised code and carry its verified unused balance to a replacement code.

7. Refunds

Because the order provides digital license capacity, refund eligibility depends on activation and use. A Partner may request cancellation before its allocation is activated. After activation, used licenses are nonrefundable; any refund or credit for unused licenses is determined under the written order and applicable law.

8. Independent businesses

The parties are independent contractors. These terms do not create an agency, franchise, employment relationship, joint venture, fiduciary relationship, exclusivity obligation, or authority for either party to bind the other.

9. Brand and publicity

Partner may use UtilityMath-approved descriptions and link materials solely to offer sponsored access. Neither party may use the other’s logo, endorsement, customer information, results, or name in advertising or publicity without permission.

10. Educational limits and representations

BuildReady™ is an educational planning system, not professional advice or project approval. Partner may not represent that UtilityMath guarantees a home, site, price, financing, contractor, installation, schedule, inspection, permit, or outcome.

11. Suspension and termination

UtilityMath may suspend redemptions for suspected fraud, public code sharing, unauthorized redistribution, chargeback, material breach, consumer confusion, or security risk. The parties will work in good faith to preserve verified unused licenses when the problem can be corrected.

12. Warranty, liability, and indemnity

The materials are provided “as is” to the fullest extent permitted by law. Each party remains responsible for its own conduct and representations. Partner agrees to defend and indemnify UtilityMath from third-party claims arising from Partner’s products, services, unauthorized promises, misuse of the materials, or violation of law. Any final limitation-of-liability amount should be confirmed during attorney review.

13. General terms

These terms, the checkout record, and any written order form are the complete agreement for the purchase. Texas law governs without regard to conflict-of-law rules. If a provision is unenforceable, the remainder stays effective. Assignment and material changes require written approval.

Attorney-review note: This is UtilityMath’s operational draft. Indemnity, liability cap, dispute process, refund language, and nationwide enforceability should be reviewed by a qualified business attorney before broad use.
